Job description

As a (Senior) Legal Counsel you will be part of the Legal, Tax & Compliance Department. You will report directly to the General Counsel.

Result areas of the department
The Legal, Tax & Compliance Department is responsible for providing legal counselling and ensuring overall compliance within the assigned scope. The team focuses on ensuring compliance of the legal status of the structure, operations, and agreements of Oikocredit and related foundations and on developing compliance policies.

Job purpose
The (Senior) Legal Counsel Asia/Africa is the main point of contact in the global Legal, Tax & Compliance Department for legal matters concerning the Asia and Africa regions. The (Senior) Legal Counsel Asia/Africa supervises the Legal Counsel(s) in these regions; serves as escalation point for complex legal matters and is the main legal point of contact for the business in the region.

Result areas of the job
The (Senior) Legal Counsel Asia/Africa is responsible for the main areas;
  1. Supervising on all legal matters in the assigned regions
  2. Legal and regulatory compliance, and
  3. Transactional advice, mainly in relation to Equity transactions.

For (2), the (Senior) Legal Counsel Asia/Africa ensures the adherence to the group policies and fulfilment of legal and regulatory obligations of the legal entities in the region.

For (3), the (Senior) Legal Counsel Asia/Africa provides advice on the legal aspects of transactions and drafts, reviews loan and investment agreements and collateral documentation – ensuring enforceability and fulfilment of all required formalities to safeguard Oikocredit's rights as a creditor and equity holder.

The (Senior) Legal Counsel Asia/Africa collaborates with various position in the Legal, Tax & Compliance Department. For (2), in the area of legal and regulatory compliance, the (Senior) Legal Counsel Asia/Africa works closely with the Compliance Officer in the unit, to (a) ensure the local entities in the regions adhere to the group compliance policies and (b) the group guidelines reflect the local applicable laws and regulations.

In general, the (Senior) Legal Counsel Asia/Africa identifies legal risks, and works closely with the General Counsel and regional management to support and advise in raising awareness of legal risks and other legal aspects of our operations in a broader sense.

To provide these services, the (Senior) Legal Counsel Asia/Africa guides the Legal Counsels in the assigned region to set the appropriate priorities. Within assigned budget, the (Senior) Legal Counsel Asia/Africa requests external counsel, coordinating a network of experts and managing the resulting legal costs. The (Senior) Legal Counsel Asia/Africa reports to General Counsel and is the first legal point of contact for the assigned regions.

With regards to the two other positions in the region, the (Senior) Legal Counsel acts as the coordinator. While the majority of his/her time is spent on content matter, the (Senior) Legal Counsel also acts as the main point of contact for the other three legal positions based in this region. This means that he/she e.g. is responsible for their day to day functioning. However, when for example dealing with performance reviews, this is always be a joint decision with the General Counsel.

Candidate profile

Education, skills and experience

  • Masters’ Degree in the field of (common) law (preferably with specialization in corporate or international commercial law)
  • Minimum of 5 years of relevant experience private equity agreements and knowledge of debt contracts/commercial and law/corporate law
  • Knowledge of (international) corporate structures and global and local tax regulations
  • Fluency in English and desirably another language (Dutch, Spanish or French)
