About this vacancy

The Company Secretary will serve as a member of a team of 8 legal professionals who are located in the Netherlands (EU HQs) and Spain. They are responsible for providing legal support for all legal matters to the European companies of Israel Chemicals Ltd (ICL), a multinational chemical manufacturing company. This position will report directly to the General Counsel Europe.

Job description

  • Draft, review and fil a wide variety of corporate documents such as shareholders’ and board resolutions and proxies for all entities in Europe
  • Attend the ICL Europe Executive Committee meetings as well as various (supervisory) board meetings in Europe and coordinate and draft relevant meeting documents, such as minutes, resolutions, meeting materials and presentations
  • Monitor corporate governance developments, assess the EU corporate governance structure and practices and pro-actively propose opportunities for the ICL Europe Executive Committee and boards in Europe to better perform its responsibilities
  • Maintain ICL’s legal structure in Europe and keep corporate records and registers of all the European entities
  • Develop and maintain a policy for the filing and retention of documents
  • Provide corporate legal support in (M&A) transactions and internal restructuring projects in Europe. Ensure compliance with (corporate) laws and regulations
  • Establish and maintain a state of the art corporate document management system (Effacts and DocuSign)
  • As European Compliance Program Leader for Securities Law, manage and monitor ICL’s global securities compliance program for Europe
  • Identify and manage securities law risks for ICL’s businesses and provide training
  • Liaise with third parties (external lawyers, finance and tax advisors) as well as correspond with local authorities

Candidate profile

  • Master of Laws Degree (corporate)
  • 5-8 years of relevant working experience within a fast paced and demanding international environment or within a law firm and/or international trust office, preferably within corporate law
  • Solid knowledge of Corporate Governance principles
  • Business oriented and dedicated team player with a pragmatic approach
  • Solid knowledge of Corporate Governance principles
  • Organized, proactive and an approachable person with a hands on mentality
  • Eager, result driven and a true problem solver
  • Able to work independently, take ownership of and resolve issues
  • Preferably experience in using the software of Effacts and DocuSign
  • Excellent social and communication skills in English, both in writing and verbal (German, French, Spanish and Dutch are preferable)
